These services are provided to businesses (B2B), institutions, and individuals as applicable.

2. Eligibility

You represent and warrant that:

  • You are at least 18 years old or of legal age to form a binding contract.
  • You are authorized to represent a legally registered organization.
  • You have the authority to bind your organization to these Terms.

3. Scope of Services

All services provided by Symfor are strictly subject to:

Note: Any work requested outside the initially agreed scope may require additional charges and a separate agreement.

4. Client Responsibilities

To ensure successful project delivery, clients act as partners and agree to:

  • Provide accurate and complete project requirements.
  • Deliver necessary documentation, assets, and access permissions in a timely manner.
  • Respond to queries and approvals within reasonable timelines.
  • Ensure lawful and ethical usage of any delivered software or solutions.
Delays caused by client-side dependencies or lack of responsiveness may affect project timelines and delivery dates.

5. Intellectual Property Rights

Ownership of final deliverables transfers to the client only after full payment, unless otherwise agreed in writing.

Symfor retains rights to:
  • Pre-existing frameworks
  • Reusable components
  • Proprietary tools
  • Underlying architecture

SAASSaaS Products

  • All SaaS platforms and software remain the exclusive intellectual property of Symfor.
  • Clients receive a limited, non-transferable, revocable license to use the software for its intended purpose.

6. Payments & Fees

  • Payments must be strictly made as per the agreed schedule in the contract.
  • Delayed payments may incur interest charges as specified in the invoice or agreement.
  • All fees are non-refundable unless otherwise explicitly stated in writing.
  • Taxes, GST, or applicable duties are additional to the quoted fees unless specified.
  • Failure to pay outstanding dues may result in immediate suspension of services.

7. Confidentiality

Both parties mutually agree to:

  • Maintain strict confidentiality of all proprietary information shared during the engagement.
  • Not disclose business-sensitive information to any third party without prior written consent.

This obligation serves to protect both parties and survives the termination of any service agreement.

8. Data Protection

Symfor may process client data solely for the purpose of service delivery.

Our Commitments:

  • Implement reasonable technical and organizational safeguards.
  • Do not sell, trade, or rent client data to third parties.
  • Act strictly as a data processor unless otherwise agreed.

Client Responsibility: Clients are responsible for ensuring they have the legal rights, consents, and permissions to provide data to Symfor for processing.

9. Warranties Disclaimer

Disclaimer

All services are provided “as-is” unless explicitly stated otherwise in the agreement.

Symfor does not guarantee:

×Specific performance outcomes
×Regulatory approvals from authorities
×Compatibility with unspecified 3rd-party systems

10. Limitation of Liability

To the maximum extent permitted by applicable law:

Symfor’s total liability shall not exceed the total amount paid for the specific service giving rise to the claim.

We shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Business interruption or downtime
  • Data loss due to factors beyond our reasonable control

11. Third-Party Integrations

Projects may integrate third-party tools such as APIs, payment gateways, or cloud providers.

Symfor acts as an integrator and is not responsible for:

  • • Third-party service downtime or outages
  • • API changes or deprecations by the provider
  • • Policy changes of external providers

12. Termination

Termination Rights

Either party may terminate services:

  • With written notice as per agreement
  • For material breach of terms
  • For non-payment of dues

Upon Termination

  • Access to systems and codebases may be revoked immediately.
  • Outstanding dues become immediately payable.

13. Non-Solicitation

Clients agree not to directly hire, recruit, or solicit Symfor employees or contractors during the contract period and for a period of 12 months thereafter, unless explicitly agreed in writing by Symfor.

14. Governing Law & Jurisdiction

Governing Law: These Terms are governed by the laws of India.

Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.

15. Modifications

Symfor reserves the right to update, modify, or replace these Terms at any time without prior specific notice. Updated versions will be published on the website, and your continued use of the service constitutes acceptance of those changes.
